1. Acceptance of Terms

By accessing or using the Markabinet.ai platform ("Services"), including our Admissions CRM and Campus ERP solutions, you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an educational institution or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Markabinet.ai provides a cloud-based Integrated Campus Management Ecosystem consisting of:

• Admissions CRM: Lead management, admission pipeline tracking, counselor productivity tools, WhatsApp integration, and enrollment analytics.
• Campus ERP: Academic management, fee collection, HR & payroll, library management, transport management, and hostel management modules.

We reserve the right to modify, update, or discontinue any aspect of the Services at any time with reasonable notice to active subscribers.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must promptly notify us of any unauthorized use of your account.
• One institution may have multiple authorized user accounts with different access levels as managed by the institution's administrator.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

4.1 Plans and Billing

Access to the Services requires an active subscription. Pricing, features, and billing cycles are as agreed upon in your subscription agreement or as displayed on our pricing page. All fees are quoted in Indian Rupees (INR) unless otherwise specified.

4.2 Payment Terms

• Subscription fees are due as per the agreed billing cycle (monthly, quarterly, or annually).
• Payments are non-refundable unless otherwise stated in your subscription agreement.
• Late payments may result in service suspension after a 15-day grace period and prior notice.
• Applicable taxes (including GST) will be added to all invoices.

4.3 Plan Changes

You may upgrade your plan at any time. Downgrades will take effect at the start of the next billing cycle. We reserve the right to adjust pricing with at least 30 days' advance notice.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload or transmit any malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the Services or other users' accounts.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Use the Services to send unsolicited bulk communications (spam).
• Share account credentials with unauthorized individuals.
• Use the Services in any manner that could damage, disable, or impair the platform.

6. Data Ownership and Responsibilities

6.1 Your Data

You retain full ownership of all data you input into the platform ("Your Data"), including student records, institutional data, and communication logs. We do not claim any ownership rights to Your Data.

6.2 Data Processing

By using the Services, you grant us a limited license to process Your Data solely as necessary to provide, maintain, and improve the Services. Our data practices are detailed in our Privacy Policy.

6.3 Data Accuracy

You are responsible for ensuring the accuracy, legality, and appropriateness of all data entered into the platform. We are not liable for decisions or actions taken based on inaccurate data entered by users.

7. Intellectual Property

• The Services, including all software, design, logos, and content, are the intellectual property of Markabinet.ai and are protected by copyright, trademark, and other applicable laws.
• Your subscription grants a limited, non-exclusive, non-transferable license to use the Services for your internal institutional purposes.
• You may not reproduce, distribute, modify, or create derivative works based on our platform without explicit written permission.

8. Service Availability

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access and are not liable for downtime caused by:

• Scheduled maintenance (communicated at least 24 hours in advance).
• Force majeure events (natural disasters, wars, pandemics, government actions).
• Third-party service failures (cloud providers, payment gateways, internet service providers).
• Actions or omissions on the part of the user or their internet provider.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Markabinet.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• Our total liability for any claim arising from or related to the Services shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.
• We are not responsible for data loss resulting from user actions, including accidental deletion or improper use of the platform.

10. Indemnification

You agree to indemnify and hold harmless Markabinet.ai, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Services.
• Your violation of these Terms.
• Your violation of any applicable law or the rights of any third party.
• Any data you enter into the platform that infringes on third-party rights.

11. Termination

11.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until the end of the paid period.

11.2 By Us

We may suspend or terminate your access if you breach these Terms, fail to make payments after the grace period, or engage in activity that harms the platform or other users. We will provide reasonable notice before termination unless the breach is severe.

11.3 Effect of Termination

Upon termination, your access to the Services will cease. You may request export of Your Data within 30 days of termination. After 90 days, all Your Data will be permanently and securely deleted from our systems.

12. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the platform at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance of the revised Terms.
